3. Explanation

Please explain in a clear and comprehensive manner why the award of the contract without prior publication in the Official Journal of the European Union is
lawful, by stating the relevant facts and, as appropriate, the conclusions of law in accordance with the directive: (500 words maximum)
The Authority conducted an open procedure (Contract Award Notice Notice identifier: 2025/S 000-045780). The purpose of this VEAT notice is to inform the market of the Authority’s intention to make the following modifications to the existing contract: Lot 1: No changes. Lots 2, 3 & 4: IZ Energy Services Ltd withdrew their awarded position from the framework on 09/09/2025. The Authority wishes to confirm their withdrawal from the framework and associated Lots. Lots 4 & 5: Centrica Business Solutions UK Ltd withdrew their awarded position from the framework on 27/10/2025. The Authority wishes to confirm their withdrawal from the framework and associated Lots. Lot 5: Calisen Group were removed from the framework since award, due to not being able to meet the requirements of the Lot. Lot 5: Aegletes III Holdco Limited was not included in the original award. However, following a subsequent clarification for Lot 5, they were awarded. This is to confirm their award position. Lot 4: The contract value was stated as £20,000,000. The Authority wishes to increase the value to £30,000,000 (50% increase). Lot 5: The contract notice stated no value due to a clerical error. The award notice stated a value of £20,000,000. The Authority wishes to confirm the value as £20,000,000. Total Contract Value: The total contract value stated in the original contract notice was £60,000,000. The above mentioned modifications will increase the total contract value to £89,000,000 (48% increase). A formal contract modification notice will be published following completion of the VEAT standstill period.
